Terms and Conditions of Service

These Terms and Conditions of Service ("Terms") constitute a legally binding agreement between Guestar Pte. Ltd. (UEN 202546175R), located at 160 ROBINSON ROAD, #14-04 SINGAPORE BUSINESS FEDERATION CENTER, SINGAPORE 068914 ("Guestar," "we," "us," or "our"), and the user ("Customer" or "you") accessing and using the Guestar software platform and related services (the "Service").

By accessing, browsing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. The Service

Guestar provides a Software as a Service (SaaS) platform that enables the Customer to manage bookings and guest communications.

2. Eligibility and User Accounts

  • Eligibility: The Service is intended solely for users who are at least eighteen (18) years of age.
  • Account Registration: To access and use the Service, you must register for an account and provide accurate and complete information.
  • Account Security: You are solely responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to notify Guestar immediately of any unauthorized use of your account.

3. Subscription, Payment, and Cancellation

  • Subscription: Access to the Service is provided on a subscription basis, as detailed in the relevant order form or on our website ("Subscription").
  • Fees and Payment: You agree to pay all applicable Subscription fees as set forth during the purchase process. All payments are non-refundable unless expressly stated otherwise in writing by Guestar.
  • Auto-Renewal: Subscriptions automatically renew for successive periods unless either party gives written notice of non-renewal at least 30 days prior to the end of the current Subscription term.
  • Cancellation: You may cancel your Subscription at any time by logging into your account settings and selecting 'Cancel Subscription'. Cancellation will take effect at the end of the then-current billing period.

4. License Grant and Restrictions

  • Limited License: Subject to these Terms, Guestar grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal business purposes during the Subscription term.
  • Restrictions: You shall not (a) modify, disassemble, decompile, or reverse engineer the Service; (b) license, sell, rent, lease, or otherwise transfer the Service to any third party; (c) use the Service to build a competitive product or service; or (d) use the Service in any way that violates any applicable law or regulation.

5. Intellectual Property Rights

  • Guestar IP: All rights, title, and interest in and to the Service (including all intellectual property rights) are and shall remain the exclusive property of Guestar and its licensors.
  • Customer Data: As between the parties, the Customer retains all ownership rights in and to the data, information, and other materials provided by you to the Service ("Customer Data"). You grant Guestar a worldwide, non-exclusive, royalty-free license to use, process, and display the Customer Data solely for the purpose of providing the Service.

6. Confidentiality

"Confidential Information" means any proprietary information disclosed by one party to the other. Both parties agree to use the same degree of care to protect the other party’s Confidential Information as they use for their own, but no less than reasonable care. Confidential Information shall not include information that is publicly available or independently developed without reference to the other party's Confidential Information.

7. Warranties and Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

GUESTAR EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Guestar does not warrant that the Service will be uninterrupted, error-free, or completely secure.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GUESTAR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, OR GOODWILL), ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF, OR INABILITY TO USE, THE SERVICE.

GUESTAR'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO GUESTAR FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Guestar and its directors, officers, employees, and agents from and against all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with (a) your use of the Service; (b) your violation of these Terms; or (c) your Customer Data.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause.

11. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Guestar.
  • Severability: If any provision is deemed invalid, the remaining provisions shall remain in full force and effect.
  • Assignment: You may not assign or transfer these Terms without the prior written consent of Guestar. Guestar may assign these Terms without restriction.

This Privacy Policy describes how we collect, use, disclose, and manage the Personal Data (as defined in the Singapore Personal Data Protection Act 2012 ("PDPA")) of our customers and users ("you" or "Customer") of our Software as a Service (SaaS) platform (the "Service").

By using the Service, you acknowledge that you have read and understood this Privacy Policy.

1. Personal Data We Collect

We may collect the following categories of Personal Data from you:

2. How We Use Your Personal Data

We use your Personal Data for the following purposes:

  • To Provide the Service: To set up your account, process your subscription, and deliver the core SaaS functionality.
  • To Communicate: To send service-related notifications, technical updates, security alerts, and support messages.
  • Billing and Finance: To process transactions and issue invoices.
  • Security and Fraud Prevention: To protect the integrity and security of the Service and prevent fraudulent activity.
  • Compliance: To comply with legal obligations under Singaporean law, including the PDPA.

3. Disclosure of Personal Data

We do not sell your Personal Data. We may disclose your Personal Data only to the following third parties, as necessary to provide the Service:

  • Service Providers: Third-party vendors and contractors who perform services on our behalf, such as payment processing (e.g., Stripe), hosting (e.g., AWS/Google Cloud), and analytics (e.g., Google Analytics). These parties are obligated to maintain confidentiality and security.
  • Legal Compliance: When required by law, court order, or governmental regulation, or if we believe disclosure is necessary or appropriate to protect the rights, property, or safety of Guestar, our customers, or others.
  • Business Transfers: In connection with any merger, sale of company assets, financing, or acquisition of all or a portion of our business by another company.

4. Handling of Customer Data (Data Processor Role)

In relation to the Personal Data of your end-users or clients ("End-User Data") that you upload to our Service:

  • You are the Data Controller: You determine the purposes and means of processing the End-User Data.
  • We are the Data Processor: We only process the End-User Data on your documented instructions and solely for the purpose of providing the Service to you.
  • Responsibility: You are responsible for obtaining all necessary consents and providing necessary notices to your end-users as required by applicable data protection laws.

5. Data Security

We implement reasonable administrative, technical, and physical measures to safeguard the Personal Data we hold against loss, theft, and unauthorized use, disclosure, or modification. However, no internet transmission is 100% secure, and we cannot guarantee absolute security.

6. Data Retention

We retain Personal Data for as long as your account is active or as needed to provide you the Service. We will retain and use your Personal Data as necessary to comply with our legal obligations (including accounting and tax requirements), resolve disputes, and enforce our agreements.

7. Your Rights (PDPA)

Under the PDPA, you generally have the right to:

  • Access: Request access to your Personal Data and information about how we process it.
  • Correction: Request correction of inaccurate or incomplete Personal Data.
  • Withdrawal of Consent: Withdraw your consent to our collection, use, or disclosure of your Personal Data, subject to applicable exceptions and contractual arrangements. Withdrawal may affect your ability to use the Service.

8. Changes to this Privacy Policy

Refund and Cancellation Policy

This policy governs the terms for cancelling your Subscription to the Guestar Service and the conditions under which refunds may be issued.

1. Subscription Cancellation

  • Customer Right to Cancel: You may cancel your Subscription at any time by logging into your Account Settings and selecting 'Cancel Subscription'.
  • Effect of Cancellation: Your cancellation will take effect at the end of your current paid billing period (monthly or annually). You will retain full access to the Service until that date.
  • No Prorated Refunds: Guestar does not provide refunds or credits for any partial month or year of Service, nor for downgrades or unused capacity during an active subscription period. You will not be charged for the Service again after your current paid term expires.

2. Refund Policy

Generally, all fees paid for the Guestar Service are non-refundable. However, exceptions apply under the following limited circumstances:

  • Service Non-Delivery: If Guestar fails to deliver the Service due to technical issues directly attributable to us for a period exceeding [e.g., 72 continuous hours] and we cannot reasonably resolve the issue, you may be eligible for a credit equivalent to the downtime or a prorated refund for the affected period, at Guestar's sole discretion.
  • Billing Error: Refunds may be granted solely for demonstrably erroneous duplicate charges or billing mistakes caused by Guestar.

3. Termination by Guestar

Guestar reserves the right to suspend or terminate your account and refuse any and all current or future use of the Service if you breach these Terms and Conditions. In the event of termination for a breach of the Terms (such as fraudulent use or violation of the license restrictions), you will not be entitled to a refund of any fees paid.

4. How to Request a Refund
